Studio Booking Terms and Conditions

By booking a studio session at You42 Studios Inc. ("You42 Studios," "Lessor," "we," "us," or "our"), you ("Lessee") agree to the following Terms & Conditions:
BOOKING & PAYMENT
All sessions must be paid in full at the time of booking.
A booking is not confirmed until payment has been received and processed.
By completing a booking, Lessee authorizes You42 Studios to charge the payment method on file for booking fees, overtime use, damages, cleaning charges, equipment replacement or repair costs, unpaid balances, chargeback-related fees, and any other amounts expressly authorized under these Terms & Conditions.
CANCELLATIONS & REFUNDS
24 hours or more before the scheduled start time: Eligible for a full refund.
Less than 24 hours before the scheduled start time: Non-refundable.
No-Shows
A no-show occurs when the Lessee has not contacted You42 Studios within thirty (30) minutes after the scheduled start time and no one from their party has arrived.
No-shows are non-refundable.
Reserved equipment may be released back into inventory.
LATE ARRIVALS
Bookings begin and end at the times reserved by Lessee.
Late arrival by Lessee or any member of Lessee's party shall not extend the booking period, reduce applicable charges, or alter the scheduled end time.
You42 Studios is not responsible for time lost due to late arrival, delays caused by Lessee or members of Lessee's party, equipment setup delays, production delays, talent delays, traffic, weather, or other circumstances outside of You42 Studios' control.
Any extension of a booking is subject to availability and must be approved by You42 Studios. Approved extensions may be subject to additional charges at You42 Studios' then-current rates.
STUDIO USE
Lessee may only use the specific room and timeslot they have booked.
The booking period includes all setup, production, breakdown, cleanup, and load-out time.
The studio shall not be considered vacated until all persons, equipment, props, materials, trash, and personal belongings associated with Lessee have been removed from the booked space.
Lessee is responsible for ensuring that all persons, equipment, materials, and personal property associated with the booking have been removed from the studio by the scheduled end time.
Any occupancy of the studio beyond the scheduled end time shall constitute overtime use.
Lessee authorizes You42 Studios to charge the payment method on file for overtime use. Overtime use will be billed at You42 Studios' then-current hourly rate, with a minimum charge of one (1) additional hour. Additional overtime may be billed in hourly increments or portions thereof, as determined by You42 Studios.
If overtime use causes delays, staff overtime, schedule disruptions, relocation of subsequent bookings, or other operational impacts, You42 Studios reserves the right to assess additional reasonable charges related to such impacts.
Filming, photography, or recording activities are limited to the specific studio(s) and areas included in Lessee's booking. Use of hallways, lobbies, common areas, shared spaces, exterior areas, or any other portion of the facility not expressly included in the booking is prohibited without prior approval from You42 Studios. Approval may be withheld, conditioned, or revoked at You42 Studios' sole discretion based on facility operations, privacy considerations, safety concerns, other bookings, events, or any other business need.
Lessee accepts the studio and facility in as-is condition.
PARTY RESPONSIBILITY
The individual or entity making the booking ("Lessee") is responsible for the conduct, compliance, safety, and actions of all guests, attendees, employees, contractors, vendors, talent, crew members, invitees, and any other persons entering the facility in connection with the booking.
Lessee shall ensure that all such persons comply with these Terms & Conditions and all facility rules and policies.
Any act or omission by a guest, attendee, contractor, employee, vendor, talent, crew member, invitee, or other person associated with Lessee's booking shall be deemed the act or omission of Lessee for purposes of this Agreement.
Any violation of these Terms & Conditions by a member of Lessee's party shall be deemed a violation by Lessee.
Lessee shall be financially responsible for any damage, loss, theft, excessive cleaning, overtime use, policy violations, or other costs arising from the actions of any member of Lessee's party.
EQUIPMENT
If equipment is reserved, all check-out and return procedures must follow You42 Studios' equipment policies.
Lessee is responsible for all loss, theft, or damage to rented equipment and agrees to pay replacement or repair costs upon demand.
CLIENT RESPONSIBILITIES
Lessee must leave the studio in reasonably clean condition and remove all personal belongings.
Food and beverages must comply with posted studio rules.
Lessee may not engage in illegal activity or violate any facility policies while on site.
Lessee shall not exceed the posted occupancy limits for any studio, room, stage, or facility area and shall comply with all applicable fire, safety, and building code requirements.
RESTRICTIONS
No smoking or use of smoke-emitting devices inside the facility, including but not limited to cigarettes, cigars, vaping devices, electronic cigarettes, fog machines, haze machines, smoke machines, or similar devices, unless expressly authorized in writing by You42 Studios.
No open flames, fireworks, or hazardous materials without prior written approval from You42 Studios.
Noise levels must not disrupt other clients, events, tenants, or facility operations.
Lessee may not assign, transfer, or sublease the booking without written consent from You42 Studios.
Individuals under the age of eighteen (18) must be supervised by a parent, legal guardian, or authorized adult representative unless otherwise approved by You42 Studios.
DRUGS & ALCOHOL
The possession, use, consumption, distribution, sale, transfer, or storage of illegal drugs, controlled substances, drug paraphernalia, marijuana, cannabis products, or any unlawful intoxicating substance is strictly prohibited by Lessee and all members of Lessee's party anywhere on You42 Studios property, including all studios, common areas, event spaces, hallways, restrooms, offices, outdoor areas, parking lots, sidewalks, and surrounding grounds.
Outside alcohol is prohibited anywhere on You42 Studios property unless expressly authorized in writing by You42 Studios.
No person may enter, occupy, or use the facility while impaired by or under the influence of drugs, marijuana, cannabis products, alcohol, or any intoxicating substance in a manner that may compromise safety, interfere with operations, damage property, or disrupt other guests, tenants, or staff.
Violation of this section may result in immediate termination of the booking, removal from the property without refund, assessment of applicable damages or cleaning charges, and referral to law enforcement when appropriate.
LIABILITY & INDEMNIFICATION
Lessee assumes all risks associated with use of the studio and facility.
Lessee agrees to indemnify, defend, and hold harmless You42 Studios Inc., its officers, agents, employees, affiliates, and representatives from all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from Lessee's use of the facility, including the actions of guests, contractors, employees, invitees, attendees, vendors, talent, and crew members.
You42 Studios is not responsible for loss of or damage to Lessee's personal property.
REMOVAL FROM PREMISES
You42 Studios reserves the right to remove or deny access to any individual whose conduct is unsafe, disruptive, unlawful, threatening, intoxicated, or otherwise interferes with facility operations, other guests, or staff.
Removal under this section may occur without refund.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, You42 Studios' total liability arising from or related to any booking, rental, or use of the facility shall be limited to the amount paid by Lessee for the applicable booking.
Under no circumstances shall You42 Studios be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business opportunities, production delays, interruption of business, loss of content, or loss of data.
CONTENT & DATA DISCLAIMER
Lessee is solely responsible for backing up, securing, and preserving all recordings, footage, photographs, audio files, digital assets, and other content created during a booking.
You42 Studios makes no warranty or guarantee regarding the quality, availability, transmission, storage, recovery, preservation, successful capture of any content, internet connectivity, livestream, recording, broadcast, or production output.
CONTENT, RELEASES & PERMISSIONS
Lessee is solely responsible for obtaining all licenses, permits, permissions, location approvals, music licenses, appearance releases, talent releases, model releases, and any other consents required for Lessee's activities, productions, recordings, broadcasts, livestreams, or events.
You42 Studios assumes no responsibility for verifying or obtaining such permissions.
NO GUARANTEE OF RESULTS
You42 Studios provides access to facilities, equipment, production environments, internet services, and related amenities on an as-available basis.
You42 Studios makes no representation, warranty, or guarantee regarding the success, quality, performance, distribution, monetization, audience reach, commercial viability, profitability, technical outcome, recording quality, livestream quality, social media performance, marketing effectiveness, or business results of any production, recording, event, broadcast, livestream, or content created by Lessee.
Lessee acknowledges that creative, technical, business, and production outcomes are inherently uncertain and assumes all risks associated with such activities.
Except as expressly stated in these Terms & Conditions, all facilities, equipment, services, and amenities are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
FACILITY RECORDING
Lessee acknowledges that common areas of the facility may be monitored or recorded for security, safety, operational, training, facility management, and loss-prevention purposes.
No recording by You42 Studios shall create any obligation to preserve footage or provide copies to Lessee.
ABANDONED PROPERTY
You42 Studios is not responsible for personal property, equipment, props, wardrobe, media, or other items left behind by Lessee or members of Lessee's party.
Property remaining after a booking may be removed, stored, relocated, disposed of, or otherwise handled at You42 Studios' discretion. You42 Studios shall have no liability for loss of or damage to abandoned property.
DAMAGE & RESTORATION
Any damage caused by Lessee or members of Lessee's party must be reported immediately.
Lessee will be charged for any repairs, replacements, restoration, excessive cleaning, or other costs required as a result of their use of the facility.
DISPUTED CHARGES
Lessee agrees to notify You42 Studios in writing of any disputed charge within thirty (30) days of the charge date and provide reasonable supporting documentation.
Failure to provide such notice shall constitute acceptance of the charge to the fullest extent permitted by law.
Initiation of a chargeback, payment dispute, or payment reversal shall not relieve Lessee of any obligations under this Agreement.
If a chargeback or payment dispute is resolved in favor of You42 Studios, Lessee shall remain responsible for all amounts owed under this Agreement, including any fees incurred by You42 Studios as a result of the dispute, to the extent permitted by law.
FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including but not limited to natural disasters, acts of God, pandemics, government orders, utility outages, labor disputes, severe weather, or other events that make performance impracticable.
In such cases, You42 Studios may cancel, postpone, or reschedule the booking without further liability beyond refunding fees paid for unused time.
TERMINATION
You42 Studios may immediately terminate a booking if:
• Payment has not been received;
• Lessee fails to comply with these Terms & Conditions; or
• Lessee, guests, invitees, contractors, employees, vendors, talent, crew members, or attendees engage in conduct that threatens safety, damages property, violates applicable laws, or disrupts normal facility operations.
ATTORNEYS' FEES
To the extent permitted by law, in any action or proceeding arising from or relating to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, court costs, and expenses.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia.
Any legal action or proceeding arising from or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of Georgia.
